Terms of Service

1. Acceptance of Terms

By accessing and using TechForward's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

TechForward provides software development services including but not limited to:

• Custom software development
• AI and machine learning solutions
• Blockchain development
• Cloud computing services
• IoT integration
• Mobile application development
• Cybersecurity solutions
• Consulting and technical advisory services

3. Service Agreement

Project Scope and Deliverables

All projects will be governed by a separate Service Agreement that will include:

• Detailed project scope and specifications
• Timeline and milestones
• Payment terms and schedule
• Intellectual property rights
• Confidentiality provisions

Changes to Project Scope

Any changes to the agreed project scope must be documented in writing and may result in additional costs and timeline adjustments.

4. Payment Terms

• Payment Schedule: Payment terms will be specified in individual project agreements
• Late Payments: Late payments may incur interest charges of 1.5% per month
• Disputed Charges: Any billing disputes must be raised within 30 days of invoice date
• Refunds: Refund policies will be outlined in individual service agreements

5. Intellectual Property Rights

Client-Owned IP

Clients retain ownership of their pre-existing intellectual property, data, and content provided to TechForward.

Work Product

Unless otherwise specified in the service agreement, clients will own the custom software and applications developed specifically for them, subject to full payment of all fees.

TechForward IP

TechForward retains ownership of:

• Pre-existing proprietary tools, frameworks, and methodologies
• General knowledge and experience gained during projects
• Non-client-specific improvements to our tools and processes

6. Confidentiality

TechForward agrees to maintain the confidentiality of all client information and will:

• Not disclose confidential information to third parties
• Use confidential information solely for project purposes
• Implement appropriate security measures to protect confidential data
• Return or destroy confidential information upon project completion

7. Warranties and Disclaimers

Service Warranty

TechForward warrants that services will be performed in a professional manner consistent with industry standards.

Software Warranty

We provide a 90-day warranty on custom software for defects in materials and workmanship under normal use.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, TECHFORWARD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL TECHFORWARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TechForward's total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Indemnification

Client agrees to indemnify and hold TechForward harmless from any claims, damages, or expenses arising from:

• Client's use of the delivered software or services
• Client's violation of these terms
• Client's infringement of third-party rights
• Content or data provided by the client

10. Termination

Termination by Client

Clients may terminate services with 30 days written notice. Client remains liable for all work completed and expenses incurred up to the termination date.

Termination by TechForward

TechForward may terminate services immediately for:

• Non-payment of fees
• Breach of agreement terms
• Illegal or unethical requests

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation, if negotiations fail
3. Binding arbitration, if mediation is unsuccessful

14. Modifications

TechForward reserves the right to modify these terms at any time. Material changes will be communicated to clients with 30 days notice. Continued use of our services after changes constitutes acceptance of the modified terms.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
